New Best Buy CEO Hubert Joly Gets $6 Million If Job Falls Through Before He Starts

Best Buy (BBY) is giving new CEO Hubert Joly a compensation package valued up to $32 million for three years, including a guarantee of more than $6 million even before he starts work if the deal falls apart.

A native of France, Joly has been guaranteed $6.25 million if he can't obtain a visa to work in the United States by the end of September and the deal falls apart, the Wall Street Journal reported. He will have an annual base salary of $1.175 million, plus additional cash and stock awards.

The company said Monday it had hired Joly, the former CEO of hospitality group Carlson, to replace interim CEO Mike Mikan after former chief executive Brian Dunn resigned because of an inappropriate relationship with an employee.

The company Tuesday announced a near-90 percent drop in profit for the second quarter to $33 million.

The company has had struggling sales as customers shop for lower-priced goods online.

Maggie Habashy, a spokeswoman for Best Buy, said in a statement that two-thirds of the amount cited by the Journal "is a one-time payment intended solely to make Mr. Joly whole for the outstanding compensation he left behind in departing Carlson, his previous employer."

A spokeswoman for Carlson, which is a privately held company based in Minnetonka, Minn., declined to comment about his pay.

Even though Joly was already working in Minnesota, he needs to obtain a new visa because he's changing employers.

Habashy said "the amount that can accurately be described as compensation going forward is weighted approximately 90 percent to variable incentives, the value of which will depend on how operational goals are met and movements in share price."

"The cash compensation is squarely in the mid-range for a CEO of a company the size of Best Buy," Habashy said in the statement. "This package was developed in consultation with leading search and compensation firms and is in-line with best practice for Fortune 50 companies."

Aaron Boyd, research director with executive compensation research firm Equilar, said Joly's annual target pay figures appear to align with what other top CEOs at the largest companies receive.

The median pay for CEOs of the S&P 500 was at $9.6 million per year, Boyd said. Joly's annual pay will be at about $12 million per year.

"Beyond the annual pay, he'll likely get the most amount of value from make-whole awards meant to compensate him for leaving Carlson and the value he gave up by leaving there," Boyd said.

Best Buy is giving him a grant valued at $20 million, Boyd said.

"It is not unusual for a company to give out awards to make up for what had to be given up," he said.

Recent examples include Yahoo's hiring of Marissa Mayer from Google in July and J.C. Penney recruiting CEO Ron Johnson away from Apple Inc. in November.

Mayer has an annual base salary of $1 million a year plus other awards, including $12 million in Yahoo stock. She could earn up to $60 million if she stays with the company for five years.

J.C. Penney paid Johnson $53 million last year.

It doesn't really work like that though, most shares are owned by other large corporations and pension fund holders. What you have are people who are CEO's also having lots of non exec directorships on those other companies who in turn for their CEO payment packages.

The whole thing is a mutual backslapping con where they rig the game scratching each others backs.

That's how you end up with people being paid millions in bonuses even when they fail entirely.

The reason for this is simple - their service sucks balls. I went into my local Best Buy back in June and asked 3 different people to help me and none of them would. All 3 of them told me they were helping someone else - yet not a single one of them had a customer anywhere in sight. So I finally picked up a DVD burner and held it up in the air and yelled "I have money and I want to buy something right now!!" Finally some dipshit came over to help me and I asked if she knew anything about the DVD burners and she said yes. So I said "what's the difference between this one and that one" and - I swear to God - she said "that one's $49.00 and that one's $59.00". I shit you not.

When Amazon gets its same day shipping up and running Best Buy will go tits up. And they deserve it.

Funny, I really like best Buy. They have a sister company in Canada called Future Shop. Both have knowledgeable people working there. Could wage have anything to do with it?

I was in Washington State recently at an information Centre for tourists...same experience there where the two girls had absolutely no knowledge of the area and nothing to say other than point at their pamphlets

It could just be that my local Best Buy sucks. And frankly I'm suprised that their profit is down 90% for the quarter. I see several people buying big ass TVs every time I go in there.

I understand. I embarrassed the hell out of my wife one time. I now need to give her time to leave the store when I do such things. I like a brick-and-mortar store because you can see what you're getting. Lousy service is inexcusable though.

I find myself turning to Amazon more often than not. bhphoto.com and adorama.com also great for photography and video gear.

Interesting concept... they throw in a compensation kicker to cover what the guy "gave up" from his previous employer..?

That makes no damn sense... darn near every other job beyond CEO... you walk... no one gives a rat's ass what your previous employer was offering you.

I'd rather vote by being one of the majority who don't buy anything there and continue their 90% drop on the road to failure...

They could compete very well if they knew what the fuck they were doing and stopped being a Circuit City/Sun/Rosas retread. In any case, these big box stereo/appliance/music/home entertainment stores are cursed with having to be the jackoff-of-all-trades, master-of-none mentality rather than focusing on being a brick-and-mortar niche. If I want stereo stuff, I'll go to a mom and pop store featuring high end stuff and there are plenty of places I can get ripped off buying a TV. I'm pretty sure a 50-something Frenchman really isn't going to find the answers to survival for them...

Not to mention scandals involving their "Geek Squad" personnel who actually turn out to be Creeper Squad shitheads with marginal skills and hack into peoples' stuff when their supposed to be fixing it. And I was once working on a friends computer that her ex-boyfriend owned, and their fucking intrusive, nearly impossible to remove, remote app kept popping up demanding money to check over everything--making it little more than malware...

That's what happened to Circuit City in the states. At one time, they had very knowledgeable stereo people who earned a decent commission and salary. They went national, cut everything down to Wal-Mart minimums, and went tits-up within a decade...
